Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the WhatsApp Communication Product and the Social Media Automation Product offered by Wontonee DigitalCraft LLP (“Wontonee”, “we”, “us”, “our”). By registering for, logging into, or using either product, you agree to be bound by these Terms in full.

These Terms are publicly accessible and submitted to Meta Platforms, Inc., Google LLC, YouTube LLC, LinkedIn Corporation, and other platform partners as part of platform API and OAuth application review.

By creating an account, clicking “I Agree”, or using the Services, you confirm that you:

• Are at least 18 years of age
• Have full legal authority to accept these Terms on behalf of yourself or your organization
• Have read and understood these Terms in full
• Agree to comply with all applicable laws and third-party platform policies

If you do not agree, you must not use the Services.

3. The WhatsApp Communication Product

3.1 Service Description

The WhatsApp Communication Product allows you to send WhatsApp messages — including transactional messages, campaigns, and marketing templates — through the Meta WhatsApp Cloud API. All messages are delivered via Wontonee's integrated cloud API infrastructure.

3.2 Meta WhatsApp Business API Compliance

Your use of this product is subject to, and must comply with:

• Meta's Platform Policy
• WhatsApp Business Policy
• WhatsApp's Commerce Policy
• Meta's Data Processing Terms

You must not use this product to:

• Send messages to recipients who have not explicitly opted in to receive communications from you
• Send spam, bulk unsolicited messages, or content that violates WhatsApp's Messaging Policy
• Send content that is illegal, abusive, hateful, misleading, sexually explicit, or in violation of any applicable law
• Promote products or services prohibited under WhatsApp's Commerce Policy
• Impersonate any person, business, or brand

3.3 Template Approval

All WhatsApp message templates must be submitted to and approved by Meta before use. Wontonee's facilitation of template submission does not guarantee Meta's approval. Approved templates may be revoked by Meta at any time. You are solely responsible for ensuring your templates comply with Meta's guidelines.

3.4 Opt-In Requirement

You are legally and contractually required to ensure that every recipient on your contact list has explicitly consented to receive WhatsApp messages from you. Wontonee is not responsible for messages sent to recipients who have not given consent. Violations may result in immediate suspension of your account.

3.5 Credit-Based Usage

The WhatsApp product operates on a credit-based billing system. Credits are consumed per message sent. Credits are non-refundable once used. Credits do not expire — they remain in your account until fully consumed, regardless of license renewal or subscription changes.

4. The Social Media Automation Product

4.1 Service Description

The Social Media Automation Product allows you to connect your social media accounts via OAuth, create posts, schedule content, and publish directly to supported platforms, including:

• Meta Platforms: Facebook Pages, Instagram Business Accounts
• Google Services: YouTube Channel (live), Google My Business (integration pending platform approval)
• Pinterest: Pinterest accounts and boards
• LinkedIn: LinkedIn member profiles (integration in progress)
• Additional platforms (X, TikTok) may be added in future phases

4.2 OAuth Account Connection

To use this product, you must authorize Wontonee to access your social media accounts using OAuth. By granting this authorization, you acknowledge:

• Wontonee will store your OAuth access tokens encrypted in our database for the purpose of publishing and scheduling on your behalf
• Tokens are used only for the stated purposes of the product and not for any other purpose
• You may disconnect any connected account at any time from within the product dashboard
• Disconnecting revokes our ability to publish future content but does not automatically revoke the OAuth grant on the platform side — you must revoke that separately in your platform account settings

4.3 Meta (Facebook & Instagram) Compliance

Your use of the Social Media Automation Product with Meta platforms is subject to:

• Meta's Platform Policy
• Meta's Terms of Service
• Instagram's Community Guidelines

You must not use this product to:

• Post content that violates Meta's Community Standards or Instagram's Community Guidelines
• Automate activity that Meta's platform policies prohibit (e.g., coordinated inauthentic behavior)
• Access another user's Facebook Pages or Instagram accounts without proper administrative authorization
• Exceed the Meta Graph API rate limits and quotas assigned to your connected accounts

4.4 Google & YouTube Compliance

Your use of this product to publish to YouTube or Google services is subject to:

• Google API Services User Data Policy
• YouTube Terms of Service
• Google's Privacy Policy

You must not use this product to:

• Upload content that violates YouTube's Community Guidelines or Terms of Service
• Upload content you do not own or have the rights to publish
• Use YouTube API data for any purpose other than managing your own YouTube channel through this product
• Circumvent YouTube's advertising or monetization policies

4.5 Pinterest Compliance

Your use of the Social Media Automation Product to publish to Pinterest is subject to the Pinterest API Terms of Service, Pinterest Developer Guidelines, and Pinterest's Privacy Policy.

Wontonee is not affiliated with, endorsed by, or sponsored by Pinterest, Inc. Pinterest and the Pinterest logo are registered trademarks of Pinterest, Inc.

Per-action consent: In accordance with Pinterest's Developer Guidelines, every Pin published must be individually and explicitly authorised by you. Wontonee does not support fully automated Pin creation without your direct confirmation of each piece of content.

You must not use this product to:

• Publish content that violates Pinterest's Community Guidelines
• Pin content you do not own or have the rights to publish
• Use the Pinterest API to scrape, redistribute, or resell Pinterest content or Pinterest-derived data to any third party, including advertising services or data brokers
• Combine Pinterest account data with data from other users' accounts or with data from other platforms
• Automate activity in a way that violates Pinterest's API usage policies, rate limits, or that initiates actions without explicit per-action user knowledge and consent
• Attempt to gain platform insights, benchmarking, or competitor research using Pinterest API data without explicit written authorisation from Pinterest
• Misrepresent the source of content or impersonate another Pinterest user or brand
• Store Pinterest API data beyond what is permitted by the Pinterest Developer Terms of Service (i.e., beyond the OAuth access token required for ongoing API access)

4.6 LinkedIn Compliance

Your use of the Social Media Automation Product to publish to LinkedIn is governed by the LinkedIn API Terms of Use, LinkedIn User Agreement, and LinkedIn's Privacy Policy.

Wontonee is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation or LinkedIn Ireland Unlimited Company. LinkedIn and its logo are registered trademarks of LinkedIn Corporation.

No Automated Posting (LinkedIn Requirement)

The LinkedIn API Terms of Use (§3.1.26) explicitly prohibit using the LinkedIn API or LinkedIn Content to automate posting on LinkedIn. Accordingly, every post published to LinkedIn via Wontonee requires your direct, individual action at the time of submission. Scheduled posts that publish to LinkedIn without a per-post explicit user action are not permitted.

Member Consent Before Connection

Before you authorise Wontonee to access your LinkedIn account, we will provide a clear disclosure of: (a) what data is collected, (b) how it is used, (c) how to withdraw consent, and (d) how to request deletion — satisfying LinkedIn API Terms §5.2 member consent obligations. You must not use this product to connect LinkedIn accounts of other members without their explicit individual consent.

You must not use this product to:

• Publish content that violates LinkedIn's Professional Community Policies
• Post content that impersonates a LinkedIn member or misrepresents the authentic identity of a user
• Use LinkedIn API data for advertising, employment eligibility assessments, credit scoring, insurance decisions, housing assessments, or any discriminatory purpose
• Use LinkedIn API data to facilitate surveillance of individuals or government entities
• Combine LinkedIn member data with data from other members' LinkedIn accounts or with data from non-LinkedIn sources
• Store any LinkedIn API Content beyond what is expressly permitted (OAuth tokens, Member Tokens, and Profile Data with member consent per API Terms §4.2–4.3)
• Sell, redistribute, sublicense, or share LinkedIn Content with any third party
• Attempt to re-identify de-identified or anonymised LinkedIn data
• Access a member's LinkedIn network of connections without their explicit permission
• Use any LinkedIn Content or APIs to automate posting on LinkedIn Services
• Exceed LinkedIn's applicable API call limits or attempt to circumvent rate limits

4.7 Scheduled Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of all scheduled content. Wontonee publishes content on your behalf at your direction. We do not pre-screen, moderate, or review content before publication.

5. Acceptable Use Policy

You agree not to use either Service to:

1. Violate any local, national, or international law or regulation
2. Infringe the intellectual property, privacy, or other rights of any third party
3. Upload, transmit, or distribute viruses, malware, or harmful code
4. Engage in phishing, fraud, or deceptive practices
5. Conduct unauthorized data scraping or automated data collection from third-party platforms
6. Interfere with, disrupt, or attempt to gain unauthorized access to our systems or infrastructure
7. Circumvent any platform's usage policies, API quotas, or technical restrictions
8. Use the Services on behalf of a third party without their knowledge and consent
9. Resell, sublicense, or redistribute access to the Services

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

6. Account Security & Responsibilities

• You are responsible for maintaining the confidentiality of your Wontonee account credentials
• You must notify us immediately at saju@wontonee.com if you suspect unauthorized access
• You are responsible for all activity carried out under your account
• Wontonee accounts are non-transferable

7. Data & Privacy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference and available at: https://myapps.wontonee.com/privacy-policy

• We collect account information, OAuth tokens, message/post content, and usage logs as described in the Privacy Policy
• Data shared with third-party platforms (Meta, Google, Pinterest) is subject to their respective privacy policies
• You may request deletion of your data at any time by contacting saju@wontonee.com
• We comply with applicable data protection laws including the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA)

8. Intellectual Property

All code, design, branding, product names, and materials relating to the Wontonee Services are the exclusive intellectual property of Wontonee DigitalCraft LLP.

Content you create and publish through the Services remains your intellectual property. By using the Services, you grant Wontonee a limited, non-exclusive, royalty-free license to process and transmit your Content solely for the purpose of delivering the Services.

9. Third-Party Platforms & Services

Wontonee integrates with Meta, Google, YouTube, Pinterest, LinkedIn, and other third-party platforms. We do not control and are not responsible for:

• The availability, uptime, or policy changes of any third-party service
• API quota changes, rate limiting, or access revocations imposed by third-party platforms
• Content moderation or takedown decisions made by third-party platforms
• Any fees or penalties charged by third-party platforms due to your violation of their policies

10. Suspension & Termination

10.1 Termination by You

You may cancel your account at any time from the account settings page. Cancellation stops future billing but does not entitle you to a refund of any credits or fees already paid.

10.2 Termination by Wontonee

We reserve the right to suspend or terminate your account — with or without notice — if:

• You violate these Terms or our Acceptable Use Policy
• You violate the policies of any third-party service (Meta, Google, YouTube)
• Your use of the Services endangers the security or integrity of our platform or others
• We receive a validated complaint, legal notice, or takedown request relating to your account
• You initiate a fraudulent chargeback or payment dispute

11. Service Availability

• Wontonee does not guarantee 100% uptime or uninterrupted availability of the Services
• We may perform scheduled or emergency maintenance at any time
• We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice
• Feature availability may vary by subscription plan

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WONTONEE DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WONTONEE SHALL NOT BE LIABLE FOR:

• Loss of profits, revenue, data, business, or goodwill
• Indirect, special, incidental, consequential, or punitive damages
• Damages arising from third-party platform policy changes, API outages, or account restrictions
• Loss of reach, impressions, or campaign performance on any platform
• Messages or content blocked, filtered, or penalized by Meta, Google, or any platform

IN ALL CASES, WONTONEE'S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO WONTONEE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

You agree to indemnify, defend, and hold harmless Wontonee DigitalCraft LLP, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your Content, your violation of any third-party platform's policies, or your violation of any applicable law.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by:

1. Good-faith negotiation — parties will attempt to resolve disputes amicably within 30 days of written notice
2. Courts — if unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of New Delhi, India

16. Changes to These Terms

We may update these Terms at any time. When we make material changes, we will:

• Update the “Last Updated” date at the top of this document
• Notify you by email or via an in-app notification at least 7 days before changes take effect
• Post the updated Terms at: https://myapps.wontonee.com/terms-and-conditions

Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
